collectively, the “Membership Interests”) in HFZ 301 WEST 53RD STREET MEZZANINE LLC (“Metro Pledged
Entity” and, together with 88 Lex Pledged Entity, 90 Lex Pledged Entity and Astor Pledged Entity, collectively,
the “Pledged Entities”), together with certain rights and property representing, relating to, or arising from the
Metro Membership Interests (collectively with the Metro Membership Interests, the “Metro Collateral”; the Metro
Collateral, together with the 88 Lex Collateral, the 90 Lex Collateral and the Astor Collateral, collectively, the
“Collateral”);
Based upon information provided by HFZ 88 LEXINGTON AVENUE JUNIOR MEZZANINE LLC (“88 Lex Junior
Mezzanine Borrower”), HFZ 90 LEXINGTON AVENUE JUNIOR MEZZANINE LLC (“90 Lex Junior Mezzanine
Borrower”), HFZ 235 WEST 75TH STREET JUNIOR MEZZANINE LLC (“Astor Junior Mezzanine Borrower”) and
HFZ 301 WEST 53RD STREET JUNIOR MEZZANINE LLC (“Metro Junior Mezzanine Borrower”), each a Delaware
limited liability company (collectively, “Junior Mezzanine Borrowers”) and each of the Pledged Entities, it is the
understanding of Secured Party (but without any representation or warranty of any kind by Secured Party as to
the accuracy or completeness) that: (A) (i) 88 Lex Junior Mezzanine Borrower owns 100% of the 88 Lex
Membership Interests, and the 88 Lex Membership Interests in 88 Lex Pledged Entity constitute the principal
asset of 88 Lex Junior Mezzanine Borrower; (ii) 88 Lex Pledged Entity owns 100% of the limited liability company
interests in HFZ 88 Lexington Avenue Holdings LLC (“88 Lex Sole Member”), and such interests are the principal
asset of 88 Lex Pledged Entity, which pledged such interests as collateral for a senior mezzanine loan made to 88
Lex Pledged Entity (the “88 Lex Senior Mezzanine Loan”) which is evidenced by the loan documents entered into
in connection therewith (collectively, the “88 Lex Senior Mezzanine Loan Documents”); (iii) 88 Lex Sole Member
owns 100% of the limited liability company membership interests in HFZ 88 Lexington Avenue Owner LLC (“ 88
Lex Property Owner”), which interests are the principal asset of 88 Lex Sole Member, (iv) 88 Lex Property Owner
owns certain condominium units in the real property located at 88 Lexington Avenue, New York, New York (the
“88 Lex Property”), and the 88 Lex Property constitutes the principal asset of 88 Lex Property Owner; (v) 88 Lex
Property Owner is the borrower under certain mortgage loans (collectively, the “88 Lex Mortgage Loan”) held by
JPMorgan Chase Bank, National Association, in its capacity as administrative agent for the lenders under certain
mortgage loans (collectively, “Mortgage Lender”), and subject to the loan documents entered into in connection
therewith, including without limitation, a pledge of the membership interests of 88 Lex Sole Member in 88 Lex
Property Owner (collectively, the “88 Lex Mortgage Loan Documents”); (B) (i) 90 Lex Junior Mezzanine Borrower
owns 100% of the 90 Lex Membership Interests, and the 90 Lex Membership Interests in 90 Lex Pledged Entity
constitute the principal asset of 90 Lex Junior Mezzanine Borrower; (ii) 90 Lex Pledged Entity owns 100% of the
limited liability company interests in HFZ 90 Lexington Avenue Holdings LLC (“90 Lex Sole Member”), and such
interests are the principal asset of 90 Lex Pledged Entity, which pledged such interests as collateral for a senior
mezzanine loan made to 90 Lex Pledged Entity (the “90 Lex Senior Mezzanine Loan”) which is evidenced by the
loan documents entered into in connection therewith (collectively, the “90 Lex Senior Mezzanine Loan
Documents”); (iii) 90 Lex Sole Member owns 100% of the limited liability company membership interests in HFZ
90 Lexington Avenue Owner LLC (“90 Lex Property Owner”), which interests are the principal asset of 90 Lex
Sole Member, (iv) 90 Lex Property Owner owns certain condominium units in the real property located at 90
Lexington Avenue, New York, New York (the “90 Lex Property”), and the 90 Lex Property constitutes the principal
asset of 90 Lex Property Owner; (v) 90 Lex Property Owner is the borrower under certain mortgage loans
(collectively, the “90 Lex Mortgage Loan”) held by Mortgage Lender, and subject to the loan documents entered
into in connection therewith, including without limitation, a pledge of the membership interests of 90 Lex Sole
Member in 90 Lex Property Owner (collectively, the “90 Lex Mortgage Loan Documents”); (C) (i) Astor Junior
Mezzanine Borrower owns 100% of the Astor Membership Interests, and the Astor Membership Interests in Astor
Pledged Entity constitute the principal asset of Astor Junior Mezzanine Borrower; (ii) Astor Pledged Entity owns
100% of the limited liability company interests in HFZ 235 West 75th Street Holdings LLC (“Astor Sole Member”),
and such interests are the principal asset of Astor Pledged Entity, which pledged such interests as collateral for a
senior mezzanine loan made to Astor Pledged Entity (the “Astor Senior Mezzanine Loan”) which is evidenced by
the loan documents entered into in connection therewith (collectively, the “Astor Senior Mezzanine Loan
Documents”); (iii) Astor Sole Member owns 100% of the limited liability company membership interests in HFZ
235 West 75th Street Owner LLC (“Astor Property Owner”), which interests are the principal asset of Astor Sole
Member, (iv) Astor Property Owner owns certain condominium units in the real property located at 235 West 75th
Street, New York, New York (the “Astor Property”), and the Astor Property constitutes the principal asset of Astor
Property Owner; (v) Astor Property Owner is the borrower under certain mortgage loans (collectively, the “Astor
Mortgage Loan”) held by Mortgage Lender, and subject to the loan documents entered into in connection
therewith, including without limitation, a pledge of the membership interests of Astor Sole Member in Astor
Property Owner (collectively, the “Astor Mortgage Loan Documents”); and (D) (i) Metro Junior Mezzanine
Borrower owns 100% of the Metro Membership Interests, and the Metro Membership Interests in Metro Pledged
Entity constitute the principal asset of Metro Junior Mezzanine Borrower; (ii) Metro Pledged Entity owns 100% of
the limited liability company interests in HFZ 301 West 53rd Street Holdings LLC (“Metro Sole Member” and,
together with 88 Lex Sole Member, 90 Lex Sole Member and Astor Sole Member, collectively, “Sole Members”),
and such interests are the principal asset of Metro Pledged Entity, which pledged such interests as collateral for
a senior mezzanine loan made to Metro Pledged Entity (the “Metro Senior Mezzanine Loan” and, together with
the 88 Lex Senior Mezzanine Loan, the 90 Lex Senior Mezzanine Loan and the Astor Senior Mezzanine Loan,
collectively, the “Senior Mezzanine Loans”) which is evidenced by the loan documents entered into in connection

therewith (collectively, the “Metro Senior Mezzanine Loan Documents” and, together with the 88 Lex Senior
Mezzanine Loan Documents, the 90 Lex Senior Mezzanine Loan Documents and the Astor Senior Mezzanine Loan
Documents, collectively, the “Senior Mezzanine Loan Documents”); (iii) Metro Sole Member owns 100% of the
limited liability company membership interests in HFZ 301 West 53rd Street Owner LLC (“Metro Property Owner”
and, together with 88 Lex Property Owner, 90 Lex Property Owner and Astor Property Owner, collectively,
“Property Owners”), which interests are the principal asset of Metro Sole Member, (iv) Metro Property Owner
owns certain condominium units in the real property located at 301 West 75th Street, New York, New York (the
“Metro Property” and, together with the 88 Lex Property, the 90 Lex Property and the Astor Property, collectively,
the “Property”), and the Metro Property constitutes the principal asset of Metro Property Owner; (v) Metro
Property Owner is the borrower under certain mortgage loans (collectively, the “Metro Mortgage Loan” and,
together with the 88 Lex Mortgage Loan, the 90 Lex Mortgage Loan and the Astor Mortgage Loan, collectively,
the “Mortgage Loans”) held by Mortgage Lender, and subject to the loan documents entered into in connection
therewith, including without limitation, a pledge of the membership interests of Metro Sole Member in Metro
Property Owner (collectively, the “Metro Mortgage Loan Documents” and, together with the 88 Lex Mortgage
Loan Documents, the 90 Lex Mortgage Loan Documents and the Astor Mortgage Loan Documents, collectively,
the “Mortgage Loan Documents”). Each of the four loans secured by the respective Collateral (each, a “Junior
Mezzanine Loan”) is subordinated to the related Senior Mezzanine Loan, with an aggregate outstanding principal
amount of approximately $56,367,819 (which amount does not include accrued interest, default interest, late
fees, enforcement costs or any additional amounts comprising the Senior Mezzanine Loan), which is subordinate
to the related Mortgage Loans, with an aggregate outstanding principal amount of approximately $112,671,802
(which amount does not include accrued interest, default interest, late fees, enforcement costs or any additional
amounts comprising the Mortgage Loan), as further described in the ICA (as defined below). Each Junior
Mezzanine Loan is cross-defaulted and cross collateralized with each other Junior Mezzanine Loan. The public
sale of the 88 Lex Collateral, 90 Lex Collateral, Astor Collateral and Metro Collateral shall be conducted
simultaneously and on a consolidated basis as set forth herein.
The sale of the Collateral will take place on November 12, 2020 at 12:00 P.M. New York time, via audio/
video teleconference and, subject to the COVID-19 pandemic and applicable law (including any Executive
Orders of the Governor of the State of New York) relating thereto, in the offices of Dechert LLP, located at
1095 Avenue of the Americas, New York, New York 10036. On or before 6:00 PM New York Time on November
11, 2020, Qualified Bidders (as defined in the Terms of Sale (as defined below)) that have timely made the
Required Deposit (as defined in the Terms of Sale) shall be provided with (x) audio/video teleconference
dial-in information necessary to participate in the public auction electronically and (y) confirmation whether
the public auction will also be held in person, subject to the foregoing provisions. The public sale shall be
conducted by Mannion Auctions, LLC, by William Mannion, Auctioneer, NYC DCA License No. 796322, and/
or Matthew D. Mannion, Auctioneer, NYC DCA License No. 1434494.
The Collateral will be sold as a single lot, and will not be divided or sold in lesser amounts, on an “as is,
where is” basis, with all faults, and without representations or warranties of any kind or nature whatsoever,
including, without limitation, any representation or warranty relating to title, possession, quiet enjoyment, or
the like, and without any recourse whatsoever to Secured Party or any other person acting for or on behalf of
Secured Party. Secured Party reserves the right to restrict prospective bidders to those who will represent that
they are purchasing the Membership Interests for their own accounts for investment and not with a view to the
distribution or resale of such Membership Interests, to verify that each certificate of the Membership Interests to
be sold bears a legend substantially to the effect that such interests have not been registered under the Securities
Act of 1933, as amended (the “Securities Act”), and may not be disposed of in violation of the provisions of the
Securities Act, and to impose such other limitations or conditions in connection with the sale of the Membership
Interests as the Secured Party deems necessary or advisable in order to comply with the Securities Act or any
other applicable law.
PLEASE TAKE NOTICE that there are specific requirements for any potential bidder in connection with
obtaining information, bidding on the Collateral and purchasing the Collateral (the “Requirements”), including
(1) complying with the restrictions applicable to the sale of the Membership Interests set forth in that certain
Amended and Restated Intercreditor Agreement, dated November 30, 2018 (the “ICA”), including without
limitation, that such bidder is a “Qualified Transferee” (defined in the ICA) and the winning bidder must deliver
all documents and pay such amounts required by the ICA (including but not limited to, providing replacement
guarantees by a Replacement Third Party Obligor (defined in the ICA)), (2) complying with the Pledged Entities’
governing documents, the Senior Mezzanine Loan Documents and Mortgage Loan Documents, and (3) complying
with the other qualifications and requirements (including but not limited to, each Terms of Sale relating to the sale
of Collateral respect to each Junior Mezzanine Loan) (collectively, the “Terms of Sale”). An online datasite for
the Sale (the “Datasite”) will include certain relevant information that Secured Party possesses contains certain
relevant information that Secured Party possesses concerning the Junior Mezzanine Borrowers, the Collateral,
the Pledged Entities, and the Properties, copies of the applicable agreements and other documents evidencing
or relating to the Junior Mezzanine Loans, the Senior Mezzanine Loans, the Mortgage Loans, the ICA and certain
other related documents and information in Secured Party’s possession (including documents related to the
Properties) (collectively, the “Disclosed Materials”). Access to the Datasite will be provided upon a request
made to the contact listed at the end of this notice and will be conditioned upon execution of a confidentiality
agreement which will be provided in connection therewith. To participate in the auction, prospective bidders must
confirm their ability to satisfy the Requirements in the manner described in the Terms of Sale, including, but not
limited to, a requirement to make a good-faith deposit against such bidder’s payment of the purchase price. No
information provided to a bidder whether provided in the Datasite or otherwise, shall constitute a representation
or warranty of any kind with respect to such information, the Collateral or the Sale. Bidders are encouraged to
review all Disclosed Materials and perform such due diligence as they deem necessary in advance of the Sale.
Secured Party reserves the right to credit bid, reject all bids and terminate or adjourn the sale to such other
date and time as Secured Party may deem proper. All bids (other than credit bids of Secured Party) must be for
cash and the successful bidder must be prepared to deliver immediately available federal funds (1) for Second
Deposit (as defined in the Terms of Sale) on the date of the Sale and (2) for the balance of the purchase price of
the Collateral on the closing date prescribed by the Terms of Sale and otherwise comply with the Requirements.
The winning bidder must pay all transfer taxes, stamp duties and similar taxes incurred in connection with the
purchase of the Collateral.
