Company meetings

and resolutions

Introduction


In this chapter we consider the procedures by which companies are controlled
by the shareholders, namely general meetings and resolutions. These afford
members a measure of protection of their investment in the company. There
are many transactions which, under the Act, cannot be entered into without a
resolution of the company.


Moreover, a general meeting at which the annual accounts and the auditors'
and directors' reports will be laid must normally be held by public companies
annually. This affords the members an opportunity of questioning the directors
on their stewardship.
