TERMSOFSALE
ALL CASH.The bid which yieldsthe highestprice for

foregoing, the SubstituteTrusteesabsolutelyreserve the

SubstituteTrustees reserve the right to retainall deposits
and resellthe Property at the risk and cost of the defaulting
purchaser,after such advertisementand on suchterms
as the SubstituteTrusteesmay deemproper,and to avail
themselves and the Beneficiary of any legal or equitable
rightsagainstthe defaulting purchaser.TIME IS OFTHE
ESSENCE with regardto all of the purchaser'sobligations.
The SubstituteTrustees reservethe right(i) to waive
or modifythe deposit requirement;(ii) to approveor
disapprove the creditworthiness of any bidderor final
purchaser;(iii) to withdraw all or part of the Propertyfrom
sale at any time prior to the termination of bidding;(iv) to
keep the bidding open for anylengthof time; (v) to reject

The Propertyis sold subjectto the rights,ifany,of

dedications, conditions,restrictions, easements,rights of

sold "WHEREIS" and in "AS IS" condition withoutany
warranty as to condition, express or implied, and without
any representationor warranty as to the accuracy of

SubstituteTrustees or any otherparty and withoutany
other representationsorwarrantyofany nature.Without
limitingthe generality of the foregoing, the Property will
be sold without representationor warrantyasto(i) title to
the Property,(ii) the nature,condition, structuralintegrity,
or fitness for aparticularuse of any improvements,
fixturesorpersonal property included within the Property,
(iii) the environmental condition of the Property or the
complianceofthe Property with federal, state and local
laws and regulationsconcerningthe presenceor disposal
of hazardous substances,(iv) compliance of the Property
with the Americanswith DisabilitiesAct or any similar
law,or(v) compliance of the Property with any zoning
laws or ordinancesand any and all applicable safety
codes,and acceptance of the Deedto the Property by

claimsagainst the Substitute Trustees or the Beneficiary

rents,public charges,assessments,sewer,water,drainage

Beneficiary and SubstituteTrustees assume no liabilityfor

accruedbefore or after the sale and shallbethe sole
