Delivery Schedule
All goods to be delivered as follows:

Upon loading (the same day) of the goods the buyer should receive the following
information from the seller: Truck Registration Number, number of bags loaded, time
of departure, estimated time of arrival at the destination.
Payment Terms
State with or without taxes in force in the country. Against Invoice and upon
presentation of required documents: X shillings/USD within seven days of receipt of
the entire supply of goods and the laboratory analysis report.
Penalty Clauses.
1.Late Delivery. Failure by the seller to deliver the consignment to .... by the date
stated above (Delivery Schedule) will result in the seller being penalised as follows:
one day or part thereof late a 0.50% reduction in the cost of
undelivered goods;
two days or part thereof late a 0.75% reduction in the cost of
undelivered goods;
three days or part thereof late a 1.00% reduction in the cost of
undelivered goods;
and for every day thereafter a further reduction of 1% per day in the
cost of undelivered goods.
The penalty clause will be imposed for late delivery of the goods unless force
majeure, in which cases the issue shall be resolved between the seller and buyer, or by
court of law.
2.Germination Failure. If the report from the survey/inspection company mandated by
the buyer (or government authority) indicates that the seed fails the germination rate
specified in the Contract, the following penalties will be applied:
2% reduction on the amount of the failed lot if the germination is
below X%, as stipulated in “Specifications” (eg 80–85%);
4% reduction on the amount of the failed lot if the germination is
below X%, as stipulated in “Specifications” (eg 75–80%);
