AspartoftheOverallStrategyfortheAwardingofPetroleumConcessionsintheperiod

2019-2025,approvedbyPresidentialDecree52/19of 18 thofFebruary,theNationalAgency

ofPetroleum,GasandBiofuels(“ANPG”)ofAngola,herebyannounces,pursuanttothe

provisionsofArticles 6 and 7 ofPresidentialDecree86/18of 2 ndofApril,theopeningof

theBiddingProcessforthegrantingofnewOilConcessionsofthefollowingBlocks:

•BenguelaBasin:Block10.

•NamibeBasin:Blocks11,12,13,27,28,29,41,42and43.

Foreachoftheabove-mentionedBlocks,thesubmissionofproposalsmustcomplywiththe

followingrequirements:

I.BIDDINGRULESANDPROCEDURES

1. BidsmustbewritteninPortugueselanguageor,ifsubmittedinanotherlanguage,must
   beaccompaniedbyanofficialtranslationinPortuguese;


2. Bidsmustindicatethebidder’swishtobeanoperatororanon-operator,aswellasthe
   pursuedworkinginterestintheblock(s)inwhichitisbidding;


3. TheagreementtobeenteredintobytheNationalConcessionaire(i.e.ANPG)andits
   associatesshallbeaProduction-SharingAgreement(“PSA”).Itshouldbenotedthat,by
   submittingbids,thebidderundertakestoacceptthetermsdescribedinthemodelPSA
   availableonANPG’swebsite(www.anpg.co.ao).Nonetheless,therighttonegotiate
   itemssubjecttobiddingwillbesafeguarded;


4. Concessionareasofferedinthebiddingroundareincludedinthemapsavailableon
   ANPG ́swebsite;


5. Small,mediumorlarge-sizedcompanies,eithernationalorforeign,maybidindividual-
   lyorthroughaConsortium;


6. IncaseofsubmissionofabidthroughaConsortium,eachofthecompaniescomprising
   theConsortiumwillbeassessedindividuallyforthepurposesoftheirqualification;


7. AlltemplatesreproducedhereinwillbeavailableonANPG’swebsite(www.anpg.co.ao);


8. Bidsmustbesubmittedby5:30pmLuandatime(GMT+1)onthe 12 thofNovember2019,ina
   closedandsealedenvelope.Allproposalshandedoveraftersuchdatewillbedeemednulland
   void;

II.REQUIREMENTSFORANON-OPERATORASSOCIATE

OFTHENATIONALCONCESSIONAIRE

BiddersintendingtoundertaketheroleofNon-Operatorshallproveitsgoodreputationand

financialstrengthbyprovidingthefollowinginformation:

a) Company ́sname;

b) Placeofincorporation,registrationandaddressofitsheadquarters;

c)Mainactivitiescarriedout;

d)Detailedinformationonitsequitystructure,namely,theamountsofowner ́sequity,

currentandfixedassets,aswellasliabilities;

e) Comfortletterfromreputablebankinginstitutions,whichaccreditsforitsfinancial

capacity;

f) Annualreportsoftheactivitycarriedout,includingtheBalanceSheetandaccounts

forthelast3(three)years,orsinceitsincorporation,ifthecompanywasincorpo-

ratedinlessthan3(three)years,auditedbyanindependentandreputableauditing

entity;

g)Detailedinformationregardingexperienceinexplorationandproductionofhydro-

carbons,includingdetailsofreservesandproduction;

h)Numberofemployeesandprofessionalexperienceofthemanagementpersonnelin

theareaexplorationandproductionofhydrocarbons;

i)Detailedinformationonthejudicialandarbitrationproceedingsbroughtagainstthe

company,inthelast5(five)years(StatementofResponsibility);

j) Detailedinformationonanticipatedplans,futureobligations,includingworkpro-

gramsorrisksthatmayimpactitsabilitytofulfilltheworkprogramwhichmaybe

setoutfortheAngolanconcessionsofwhichitmayformpartof;

k) DetailedinformationonthebusinessactivitycarriedoutinAngolauptothedateof

thesubmissionoftheapplication(ifapplicable).

III.REQUIREMENTSFORANOPERATORASSOCIATEOF

THENATIONALCONCESSIONAIRE

BiddersintendingtoundertaketheroleofanOperatormust,inadditiontopresentingthe

informationreferredtointheNon-Operator’srequirements,provethepossessionoffollow-

ingrequirements:

a) Competenceandexperienceinthemanagementandexecutionofpetroleumopera-

tions;

b) Technicalandoperationalcompetence;

c)Efficientorganizationalstructure;

d)Informationshowingevidenceofexperienceincarryingoutpetroleumoperations

thatthecompanydeemsrelevanttoenhanceitsapplication,namelywithrespectto

safety,environmentalprotection,pollutionpreventionandemployment,integration

andwhererelevant,trainingofAngolanpersonnel.

IV.HSEREQUIREMENTS

Additionally,Companiesmustprovideevidenceofthefollowing:

a)DemonstrateaQuality,Health,SafetyandEnvironmentPolicythatshowscommit-

menttoPreventionofHealthinjury,PreventionofEnvironmentalPollution,Protec-

tionofHeritageandcontinuousimprovement;

b) Complywithapplicablelawsandregulations;

c)Demonstratethatitsemployeeshavethenecessaryskillstoensurecompliancewith

theQuality,Health,SafetyandEnvironmentaspects;

d)DemonstratethemechanismsappliedforHSErisksassessmentandmanagement;

e)Highlighttheuseofmethodologiesthateliminatethecausesofnonconformitiesin

ordertoavoidrepetitionandeliminatethecausesofpotentialnonconformities;

f)DemonstratecompetencetoimplementandsustainQuality,Health,SafetyandEnvi-

ronmentManagementSystemsinoilandgasexplorationandproductionoperations;

g) Presentthemethodstobeemployedforcontrolandemergencyresponseandoil

spillcontrol;

h) PresentManagementIndicatorsofthelast6(six)monthsandthemechanismstobe

usedtoassessQuality,Health,SafetyandEnvironmentperformance.
