Mars, Incorporated and Kellanova
have announced that they have
entered into a definitive agreement
under which Mars will acquire
Kellanova, according to informa-
tion released by both companies last
week.
“The transaction unites two iconic
businesses with complementary cat-
egories, markets and portfolios of
differentiated and beloved brands,”
according to the announcement.
“The combination will bring together
world-class talent with leading
brand-building experience to further
develop a sustainable snacking busi-
ness that is fit for the future.”
Valued at $35.9 billion, the merger
was reportedly expected to bring a
44-percent premium to Kellanova’s
unaffected 30-trading day VWAP as
of Aug. 2, 2024, the announcement
to shareholders revealed.
“This is a truly historic com-
bination with a compelling cul-
tural and strategic fit.,” Chairman,
President and CEO of Kellanova
Steve Cahillane is quoted as saying.

According to CEO and Office of
the President Poul Weihrauch, “In

substantial opportunity for Mars to
further develop a sustainable snack-
ing business that is fit for the future.

to deliver more choice and innova-
tion to consumers and customers. We

Mars, Incorporated, a family-
owned, global leader in pet care,
snacking, and food, and Kellanova
(NYSE: K), a leading company in
global snacking, international cereal
and noodles, North American plant-
based foods, and frozen breakfast
foods, today announced that they
have entered into a definitive agree-
ment under which Mars has agreed
to acquire Kellanova for $83.50 per
share in cash, for a total consid-
eration of $35.9 billion, including
assumed net leverage.
Kellanova, headquartered in
Chicago with offices in downtown
Battle Creek, is home to iconic
snacking brands including Pringles®,
Cheez-It®, Pop-Tarts®, Rice
Krispies Treats®, NutriGrain®, and
RXBAR®, as well as cherished food
brands including Kellogg’s® (inter-
national), Eggo®, and MorningStar
Farms®.
“With roots dating back more
than 100 years, Kellanova has a
rich legacy of quality and innova-
tion,” according to a press release.
“Kellanova had 2023 Net Sales of
more than $13 billion, with a pres-
ence in 180 markets and approxi-
mately 23,000 employees.”
Kellanova’s portfolio reportedly
complements the existing Mars port-
folio, which includes billion-dollar
snacking and confectionery brands
like SNICKERS®, M&M’S®,
TWIX®, DOVE®, and EXTRA®,
as well as KIND® and Nature’s
Bakery®.
Mars also has 10 pet care brands
with over $1 billion in sales, includ-
ing ROYAL CANIN®, VCA®,
PEDIGREE®, BANFIELD®,
WHISKAS®, BLUEPEARL®,
CESAR®, SHEBA®, ANICURA®,
and IAMS®.

Upon completion of the transac-
tion, Kellanova will become part

Dennis
Lynn Gilson,
56, passed
away August
22, 2024.
He was born
February
16, 1968,
in Seattle,
WA, the son
of William and Patricia (Gilson)
Adams.
Passionate about the outdoors,
Dennis found solace in the simplic-
ity of nature. He spent countless
hours fishing and hunting, losing
track of time amidst the landscapes
he so loved. His green thumb was
evident to anyone who visited
his home, where his houseplants
thrived under his attentive care.
Dennis’ capacity for love was
evident in his marriage to Teresa
McCoy, with whom he shared a
beautiful partnership. He embraced
the role of a stepfather with open
arms, cherishing his three step-
children as if they were his own.
His numerous stepgrandchildren
brought him immeasurable joy.
Music was another of Dennis’
great loves and his taste was
as eclectic as it was passionate.
Whether it was the strum of a guitar,
the melody of a piano or the beat of
a drum, he found peace and joy in
the rhythm and stories told through
song. His extensive music collection
was a testament to his appreciation
for all genres.
He is survived by his mother,
Patricia; brother Darin (Angel)
Adams; stepsister Danene (Jeff)
Norris; wife Teresa McCoy; three
stepchildren; numerous stepgrand-
children; and many loved nieces
and nephews.
He was preceded in death by his
father, Bill.
As we say goodbye to Dennis
Lynn Gilson, we celebrate a life
well-lived and a man well-loved. His
memory will continue to inspire us
to appreciate the simple pleasures
in life.
A celebration of life will be held at
190 North 25th St., Battle Creek, MI
49015 on Saturday, August 31, at
3 p.m. Please bring a dish to pass
and a drink.
