andothercodeviolations,ifany,toall criticalareaandwetlandviolations,
if any,toall environmentalproblemsandviolationswhichmayexist
onorwithrespecttotheProperty,ifany,andtoallrecordedand
unrecordedliens,encumbrances,securityinterests, easements,rights-of-
way,covenants,agreements,conditions,restrictions,leases, occupancy
agreementsandmechanicsandmaterialmen’sliens, to theextentanyof
theforegoing maylawfully applyto theLeaseorthePropertybeingsold,
or anypartthereof,andtakepriority overtheliensandsecurityinterests
of theDeedof Trust.
Settlement shallbebycertifiedor cashier’s checkor wiretransferof
immediatelyavailablefederalfunds,and shalloccurwithinthirty(30)days
fromdateof sale, TIMEBEINGOFTHEESSENCE.Settlementshalloccur
in theofficesoftheSubstituteTrusteesor suchotherplaceas mutually
agreedupon.TheSubstituteTrusteesreservetherightto extendthe
dateof settlement as maybenecessaryto completearrangementsfor
settlement.
Thepurchasershallpayallclosingcosts,includingthepreparationof
theTrustees’Deedandall taxesandrecordingcostsassessedthereon
(including,butnotlimitedto,thegrantor’stax andcongestionrelieffee),
settlement fees,titleexaminationcharges andtitleinsurancepremiums.
Perthetermsof theLease,realestate taxesaretheresponsibilityof the
landlord.
Thedeposit, withoutinterest,shall beappliedtothecreditofthe
successfulbidderat settlement.If thesuccessfulbidderfails to complete
settlementthedeposit shallbeforfeitedandappliedtothecostsof
thesaleandtheindebtednesssecuredbytheDeedofTrust,andthe
SubstituteTrusteesmayreselltheLeaseandpersonal property at the
riskandcostof thedefaultingpurchaser.Afteranysuchdefaultand
forfeiture,theLeaseandpersonalpropertymay,atthediscretionof the
SubstituteTrustees,beconveyedto thenexthighestbidderwhosebid
wasacceptableto theSubstituteTrustees.
TheSubstituteTrusteesreservetherighttorejectanyandallbids,
waivedepositrequirements, extendtimeforsettlement,andannounce
additionaltermsof sale.Termsof saleannouncedat thepublicauction
willsupersedeall advertisedtermsofsale.
Theriskof lossordamagetothePropertybycondemnation,fireor
othercasualtyshallbe bornebythe successfulbidderfromandafterthe
strikedownofthe bidat theforeclosuresale. TheSubstituteTrusteesare
notobligatedto deliverpossessionof thePropertyor personalproperty
to thesuccessfulbidder,whoshallbesolelyresponsibleforobtaining
possessionof suchproperty.
At thetimeof sale,thesuccessfulbiddershallberequiredto executea
Memorandumof Salewhichshallinclude, by reference, all thetermsand
conditionscontainedherein.Theformof theMemorandumofSaleis
availablefromtheSubstituteTrusteesuponrequestandwillbeavailable
at saletime.
Theinformationcontainedherein wasobtainedfromsourcesdeemed
to bereliable,but is offeredforinformationpurposesonly.Neitherthe
SubstituteTrustees, thesecuredparty,nor anyotherparty,makesany
representationsor warrantiesof anykindwhatsoever withrespectto the
accuracyof theinformationcontainedherein.
Immediatelyupontheconveyanceby theSubstituteTrusteesofthe Lease
andpersonal property to thepurchaserat foreclosure,all duties,liabilities
andobligationsoftheSubstituteTrustees,ifany,tothePurchaser
withrespectto theLeaseandpersonal property shall be extinguished.
