- Hold Harmless / Indemnification. You agree to defend, indemnify and hold K5MTR and any third party provider
harmless from and against all third party claims and damages (including reasonable attorneys’ fees) regarding your use of
the eBook, unless the claims or damages are due to K5MTR’s or any third party provider’s gross negligence or willful
misconduct or arise out of an allegation for which K5MTR is obligated to indemnify you. - Compliance with Law. Any use of the eBook must be lawful and you expressly agree to avoid any use that is potentially
or actually unlawful that could constitute a criminal offense, give rise to civil liability or otherwise violate any applicable
local, state, national or international law, regulation or judicial ruling. - Governing Law. If there is any dispute arising out of the eBook, by using the eBook, you expressly agree that any such
dispute shall be governed by the laws of the State of New York, U.S.A. and the federal laws of the United States of
America, without regard to its conflict of law provisions and excluding that body of law known as conflicts of law and the
United Nations Convention on Contracts for the Sale of Goods. You expressly agree to submit to the exclusive jurisdiction
of the exclusive jurisdiction of and venue in the federal and state courts located in New York County, New York, U.S.A.
Use of the EBook is unauthorized in any jurisdiction that does not give effect to all provisions of this Section 9. - Severability. If any provision of this Agreement or the application thereof to any person or circumstance shall be
invalid or unenforceable to any extent, the remainder of this Agreement and the application of such provisions to other
persons or circumstances shall not be affected thereby and shall be enforced to the greatest extent permitted by law. - Entire Agreement. It is hereby acknowledged that this Agreement constitutes the entire agreement between the parties
pertaining to the subject matter hereof, and supersedes in their entirety any and all written or oral agreements previously
existing between the parties with respect to such subject matter.
